v1.2 sürümünde nelerin değiştiği

  • Section 8.2 (payment schedule): orders with a one-time value up to USD 5,000 are still paid in full at checkout. Above USD 5,000 the Client chooses at checkout between payment in full with a 5% pay-in-full discount on the one-time services, or two payments of 50% at checkout and 50% before launch (invoiced when the test version is ready). There is no longer a payment on acceptance (previously 50% / 40% / 10%).
  • Section 8.2 also states that the work goes live and code, files and admin access are handed over only after full payment, and that a Deliverable is accepted if no written defects are reported within 7 days after delivery. Section 11.1 now uses the same 7-day period (previously 5 Business Days).
  • The version lines were updated to v1.2. No other wording changed.
  • Orders accepted under v1.1 keep the v1.1 terms and their 50% / 40% / 10% schedule.

TUNCER TECHNOLOGIES — Master Service Purchase Agreement

Document ID: TT-MSPA-2026-10 · Version 1.2 — effective 16 October 2026

Trading name: Tuncer Technologies (tuncertech.com)

Contracting entities: Poseidon Distribution OPC (Philippines) · Rundzee LLC (United States and all other countries)

Company email: admin@rundzee.com (all notices, orders and project communication)

Part 1 — Master Service Purchase Agreement

This Master Service Purchase Agreement (the Agreement) applies to every service purchased through tuncertech.com or any order page, quotation or invoice that refers to it. By ticking the acceptance boxes and typing your name at checkout, you (the Client) agree to this Agreement, the Regional Schedule for your billing country, and the Order.

1. Parties

1.1 The Provider is the company named in the Regional Schedule for the Client's billing country, trading as Tuncer Technologies: Poseidon Distribution OPC for clients billed in the Philippines, and Rundzee LLC for clients billed in the United States and every other country, unless the Order states otherwise.

1.2 The Client is the business or individual named on the Order. A person accepting on behalf of a company confirms they have authority to bind it.

1.3 Provider details: Poseidon Distribution OPC, Unit 1 & 2, 3rd Floor, Perfectus Building, Jacinto Street, Davao City 8000, Philippines (SEC registration number and TIN available on request at admin@rundzee.com). Rundzee LLC, a Washington limited liability company, 14900 Interurban Ave S Ste 271, Tukwila, WA 98168-4654. Email for both: admin@rundzee.com.

2. Definitions

Order — the online checkout summary, invoice or written quotation listing the services, service IDs, prices, currency, payment schedule and any special terms.

Services — the services in the Order, limited to the Included scope and subject to the Scope limits published for each service ID.

Deliverables — the materials the Provider delivers under the Order (designs, websites, configured apps, reports, content).

Business Day — Monday to Friday, excluding Philippine public holidays. Business Hours — 9:00–18:00 Philippine Time (Asia/Manila) for all Orders, whichever Provider entity is contracting, unless the Order states otherwise; Business Days exclude Philippine public holidays.

Ticket — the project reference number created for every Order (for example TT-000123).

Consumer — an individual buying mainly for purposes outside their trade, business or profession, where the law of their country gives consumers special protection.

3. How the contract is formed

3.1 The contract is formed when (a) the Client accepts these terms at checkout, and (b) the payment due at checkout is confirmed by the payment provider. The Provider then sends an order confirmation, invoice and a PDF copy of the accepted terms to the Client's email address.

3.2 Typed names, tick boxes and electronic records are valid signatures and evidence of agreement. The Provider keeps a record of the document version, date and time, IP address and country of acceptance.

3.3 The Provider may decline or refund an Order within 2 Business Days if the Services cannot be delivered (for example, unsupported requirements, sanctions restrictions or capacity), with a full refund of amounts paid for that Order.

4. Services and scope

4.1 The Provider delivers the Services with reasonable care and skill, consistent with good industry practice, within the Included scope and Scope limits of each service ID.

4.2 Anything outside that scope — additional pages, features, users, records, integrations, revisions, languages, platforms or content — is a Change Request. Change Requests are carried out only after the Client approves a written estimate by email.

4.3 Package rules: app packages A01–A05 include a required 12-month maintenance plan (A06–A10). Items already included in a package are not charged twice.

4.4 Starting fees for custom development (D07–D09) are planning allowances. The final price is confirmed in writing after requirements discovery and before build work begins.

5. Coordination and communication

5.1 First contact. After a confirmed payment, a Provider team member will contact the Client by email within 24 Business Hours to introduce themselves, confirm the scope, request materials and agree the kickoff.

5.2 Email is the official channel. All project communication, approvals, change requests and notices are sent by email to and from admin@rundzee.com, quoting the Ticket number. Calls or video meetings may be scheduled by email; decisions made in them are confirmed by email.

5.3 Response time. The Provider aims to reply to Client emails within 24 Business Hours. The Provider does not provide 24/7 support unless the Order says so.

5.4 The Client names one contact person who can give approvals. The Provider may rely on instructions from that person's email address.

6. Client responsibilities

Supply accurate content, branding, data, credentials and access on time. Timelines pause while the Provider waits for these.

Make sure supplied materials are lawful and that the Client holds the rights to use them.

Own and pay for third-party accounts (domains, hosting, app stores, payment gateways, cloud, email, SMS, maps, AI usage, licences), unless the Order says otherwise.

For security, testing or recovery work, authorize only systems the Client owns or is permitted to authorize.

Review and respond to deliverables within the acceptance period.

7. Timelines

7.1 Published work times are estimated working time. They start after payment, scope confirmation and receipt of all materials and access. They are not guaranteed launch dates.

7.2 Approvals by third parties (Google Play, Apple App Store, payment gateways, identity or messaging providers) are outside the Provider's control and are excluded from work times.

8. Prices, payment and taxes

8.1 Regional pricing. Prices are set by the Client's billing country and shown in the Order currency. If the billing country, tax status or payment method country is inaccurate, the Provider may re-price the Order to the correct region or cancel it with a refund.

8.2 Payment schedule. Unless the Order states otherwise: (a) one-time services, when the one-time value of the Order is USD 5,000 or less: 100% at checkout; (b) one-time services, when the one-time value of the Order is more than USD 5,000: the Client chooses at checkout either (i) payment in full at checkout, with a 5% pay-in-full discount on the one-time services (applied after any other discount; monthly services are not discounted), or (ii) two payments: 50% at checkout and 50% before launch, invoiced when the working test version is ready; (c) monthly services: billed monthly in advance from activation. The one-time value is the sum of the US base prices of the one-time services in the Order times their quantity (monthly services are not counted); it decides the schedule for the whole Order, in every country and currency. Orders charged in another currency are split in the same proportions, and any discount is applied before the split. The Provider puts the work live and hands over code, files and admin access only after the Order is paid in full. If the Client sends no written list of defects within 7 days after delivery, the Deliverable is accepted.

8.3 Taxes. Prices exclude taxes unless shown as tax-inclusive. Applicable VAT, GST, sales tax or similar taxes are added at checkout or invoiced as required by law. If withholding tax applies, the Client pays the amount needed so the Provider receives the full invoiced amount, unless the Regional Schedule says otherwise.

8.4 Third-party costs — domains, hosting, licences, store accounts, gateway fees, cloud/AI/API usage, SMS, maps, media spend, hardware and travel — are extra unless the Order lists them.

8.5 Late payment. If a milestone invoice is unpaid 7 days after its due date, the Provider may pause work and postpone timelines after giving notice by email. Deliverables are released after full payment.

8.6 Payment processing is handled by PayMongo, Xendit, Stripe or another provider shown at checkout. The Provider does not store full card details.

8.7 Chargebacks. The Client agrees to contact admin@rundzee.com first about any billing issue. A chargeback without contacting the Provider may lead to suspension of the Services.

9. Monthly services and subscriptions

9.1 Monthly services renew automatically each month until cancelled. The price, billing date and how to cancel are shown at checkout and in the confirmation email.

9.2 The Client can cancel by emailing admin@rundzee.com or from the client dashboard. Cancellation takes effect at the end of the current paid month, except that maintenance plans A06–A10 attached to an app package have a 12-month minimum term from production handover.

9.3 Included hours are per month. Unused hours expire and do not roll over. Extra hours are billed at the rate in the Order after the Client approves them by email.

9.4 The Provider will give at least 30 days' email notice of any price change to a monthly service. The Client may cancel before the change takes effect.

10. Cancellation and refunds

Mandatory consumer rights in the Regional Schedule take priority over this section.

10.1 Before work starts. If the Client cancels by email before the kickoff meeting and before any work has begun, the Provider refunds the amount paid, less non-refundable third-party costs already incurred for the Client.

10.2 After work starts. Payments cover work performed. If the Client cancels after work begins, the Provider keeps payment for work done and costs incurred up to cancellation and refunds any unused balance of the payment received. Completed and accepted milestones are not refundable.

10.3 Provider cancellation. If the Provider cannot perform, it refunds amounts paid for undelivered Services.

10.4 Refunds go back to the original payment method within 14 days of being approved, minus any currency conversion difference charged by the Client's bank.

11. Acceptance and warranty

11.1 The Client has 7 days after delivery to test a Deliverable and either accept it or send a written list of defects against the agreed scope. If the Client sends nothing within that time, or uses the Deliverable in production, it is treated as accepted.

11.2 The Provider fixes reported defects that are reproducible and fall within the agreed scope. Requests outside the scope are Change Requests.

11.3 Warranty. For 30 days after acceptance, the Provider fixes reproducible defects in its own work against the accepted specification, free of charge. The warranty does not cover changes by others, third-party services, new requirements or misuse.

11.4 Except as stated in this Agreement or required by law, the Services are provided without other warranties. The Provider does not guarantee search rankings, leads, sales, downloads, store approval, uninterrupted operation, or protection from every security threat.

12. Intellectual property

12.1 The Client keeps ownership of all materials it supplies.

12.2 Custom deliverables. After full payment, the Client owns the custom designs, content and code written specifically for it (excluding Provider Materials).

12.3 Provider Materials. The Provider keeps ownership of its pre-existing and reusable software, modules, templates, frameworks, tools and know-how. The Client receives a non-exclusive, non-transferable licence to use any Provider Materials included in a Deliverable for its own business, for as long as it is entitled to use that Deliverable.

12.4 White-label app packages (A01–A05, D01–D06) are provided under a non-exclusive business-use licence. Source code, resale rights or exclusive ownership require a separate written agreement and price (service D14).

12.5 Portfolio. The Provider may show non-confidential Deliverables, and the Client's name and logo, in its portfolio and marketing. The Client can opt out at any time by emailing admin@rundzee.com.

13. Confidentiality

Each party keeps the other's non-public business, technical and personal information confidential, uses it only for the Order, and protects it with reasonable care. This obligation lasts for 3 years after the Order ends (and indefinitely for credentials, personal data and trade secrets). It does not cover information that is public, already known, independently developed, or that must be disclosed by law.

14. Data protection and security

14.1 Each party complies with the data protection laws that apply to it. The Provider's Privacy Notice on tuncertech.com explains how it handles the Client's personal data.

14.2 Where the Provider processes personal data on the Client's behalf, it does so only on the Client's instructions, keeps it secure, and helps the Client meet its legal obligations. A data processing addendum (including standard contractual clauses where required) is available on request from admin@rundzee.com.

14.3 Credentials shared with the Provider are stored securely, used only for the Order, and should be changed by the Client after handover.

15. Limitation of liability

15.1 Neither party is liable for indirect or consequential loss, or for loss of profit, revenue, data or goodwill.

15.2 Each party's total liability under an Order is limited to the fees paid or payable under that Order in the 12 months before the claim.

15.3 Nothing limits liability that cannot be limited by law, including liability for fraud, gross negligence or wilful misconduct, death or personal injury caused by negligence, or a Consumer's non-excludable rights.

16. Term, suspension and termination

16.1 Each Order lasts until its Services are completed, or for monthly services, until cancelled under Section 9.

16.2 Either party may terminate an Order by email if the other party materially breaches it and does not fix the breach within 14 days of notice.

16.3 On termination, the Client pays for work performed up to that date, and each party returns or deletes the other's confidential information, except copies it must keep by law.

17. Compliance and sanctions

The Client confirms it is not located in, or owned or controlled by a person in, a country or region subject to comprehensive sanctions, and is not on a government restricted-party list. The Provider may refuse or cancel Orders that would breach sanctions or export laws.

18. Force majeure

Neither party is responsible for delays caused by events beyond its reasonable control, such as natural disasters, power or internet outages, government action, or failures of third-party platforms. The affected party notifies the other by email and resumes performance as soon as practical.

19. Governing law and disputes

19.1 The governing law and courts are set out in the Client's Regional Schedule.

19.2 Before starting any formal proceedings, the parties try in good faith to resolve the dispute by email and, if needed, a video meeting within 30 days of a written notice sent to admin@rundzee.com (for the Provider) or the Client's email on file.

20. General

20.1 Order of precedence: (1) mandatory terms in the Regional Schedule, (2) special terms in the Order, (3) this Agreement, (4) published service descriptions.

20.2 Notices are given by email: to the Provider at admin@rundzee.com, and to the Client at the email address on the Order.

20.3 This Agreement, the Regional Schedule and the Order are the entire agreement for the Order. Changes must be agreed in writing (email is sufficient). If any provision is unenforceable, the rest remains in force.

20.4 Neither party may assign an Order without the other's consent, except the Provider may assign to an affiliate that takes over its obligations.

20.5 The parties are independent contractors. Nothing in this Agreement creates employment, partnership or agency.

20.6 The English version prevails over any translation, except where local law requires otherwise.

20.7 The Provider may update this Agreement for future Orders. Accepted Orders stay on the version the Client accepted.
